Agreement to Terms

These Terms of Service (“Terms”) are an agreement between you and PNW WEBCARE LLC, a Washington limited liability company (“PNW WebCare,” “we,” or “us”). They govern your use of our website at pnwwebcare.com (“the Site”) and, until a signed service agreement applies, our client portal at portal.pnwwebcare.com. By accessing or using the Site, you agree to these Terms. If you do not agree to these Terms, please do not use the Site. These Terms apply to all visitors, users, and others who access the Site.

Use of This Website

This website is provided for informational purposes about PNW WebCare’s web design and development services. You agree to use the Site only for lawful purposes and in a way that does not infringe on the rights of others or restrict their use and enjoyment of the Site.

You agree not to:

• Use any robot, scraper, or other automated means to access the Site in a way that places an unreasonable load on it, bypasses any security or technical measure, or disregards our robots.txt file. Search engine crawlers, assistive technologies, and standard browser features are permitted.

• Collect or harvest any personally identifiable information from the Site

Service descriptions, pricing philosophy, and timelines on this website are general information provided for reference purposes. They do not constitute a binding offer or contract.

Any services we provide are governed solely by a written agreement signed by you and PNW WebCare, such as a service agreement with a statement of work or signed proposal. That agreement sets out the scope, deliverables, timeline, payment terms, and ownership of work product for your project. These Terms govern only your use of this website.

SEO and marketing services. We do not guarantee specific search engine rankings, traffic levels, or business results. Search results depend on many factors outside our control, including search engine algorithm changes, competitor activity, and market conditions. The specific SEO work included in your project is set out in your service agreement.

Hosting and uptime. Hosting, maintenance, and support commitments, including any availability targets, are described in your signed service agreement. Performance figures shown on this website are typical targets, not guarantees.

Client Portal

Access to the client portal is limited to authorized clients and is governed by your service agreement and any terms presented when you log in.

Intellectual Property

Our content. All content on this website, including text, design, code, graphics, logos, and images, is owned by PNW WebCare or its licensors, including clients whose work appears in our portfolio. This content is protected by copyright and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from this content without our prior written permission.

Client work. Ownership of work product created for clients (websites, designs, code) is governed by the signed service agreement between PNW WebCare and the client, not by these Terms.

Trademarks. “PNW WebCare” and our logo are trademarks of PNW WEBCARE LLC. Other product and company names mentioned on the Site may be trademarks of their respective owners.

Copyright Complaints

If you believe material on this Site or on a website hosted by PNW WebCare infringes your copyright, email a notice meeting the requirements of 17 U.S.C. § 512(c)(3) to support@pnwwebcare.com. We will remove or disable access to infringing material when appropriate and will terminate hosting for repeat infringers in appropriate circumstances. We may forward your notice to the owner of the website involved.

Contact Form Submissions

By submitting our contact form, you consent to being contacted by PNW WebCare about your inquiry at the email address or phone number you provide. We will not add you to a marketing email list unless you ask to join one, and any marketing email we send will include a way to unsubscribe. Limitation of Liability

To the fullest extent permitted by law, our total liability for all claims arising from your use of the Site will not exceed one hundred U.S. dollars (US $100).

This section applies only to your use of the Site. Liability relating to services is governed by your signed service agreement. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence or intentional misconduct.

Indemnification

You agree to indemnify and hold harmless PNW WebCare and its owner, employees, and contractors from third-party claims, and related reasonable costs, arising from your violation of these Terms or your misuse of the Site, except to the extent a claim results from our own negligence or misconduct.

Dispute Resolution

In the event of any dispute arising from these Terms or your use of the Site, you agree to first attempt to resolve the dispute informally by contacting us through our contact form or by emailing support@pnwwebcare.com. If the dispute cannot be resolved informally within thirty (30) days, either party may bring it only in the state or federal courts located in Spokane County, Washington, except as provided below.

Either party may bring an individual claim in a small claims court of competent jurisdiction, and either party may seek injunctive relief to protect its intellectual property, without first completing the informal resolution process. Any applicable limitation period is paused during the 30-day informal resolution period.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions. You and PNW WebCare consent to the personal jurisdiction and exclusive venue of those courts.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall remain in full force and effect.

Entire Agreement

These Terms, together with any additional terms presented in our client portal, are the entire agreement between you and PNW WebCare regarding your use of the Site and the client portal. Our Privacy Policy explains how we handle personal information. If you have a signed service agreement with PNW WebCare, that agreement governs the services and controls over these Terms in any conflict.

Changes to These Terms

We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with an updated revision date. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically. Changes apply only to use of the Site after they are posted, do not apply to any dispute that arose before the change, and do not modify any signed service agreement.
